Seattle & Tampa, Fla. – Saltchuk Resources, Inc. (Saltchuk) and Overseas Shipholding Group, Inc. (NYSE:OSG) (OSG) are excited to announce that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the HSR Act) has expired with respect to the cash tender offer by a wholly-owned subsidiary of Saltchuk for all issued and outstanding shares of Class A common stock of OSG at a price of $8.50 per share. The waiting period ended at 11:59 p.m. on June 25, 2024.

With the HSR Act waiting period now completed, the Offer is moving closer to completion. However, there are still other customary conditions that need to be met, including a minimum tender of shares of Class A common stock of OSG. The Offer is set to expire at one minute past 11:59 p.m., Eastern Time, on July 9, 2024, if not extended.

Stockholders will receive instructions on how to tender shares through Georgeson LLC or the institution/brokerage that holds the shares.
